Terms of Service

Effective October 14, 2026 · Cliparch Labs, Inc.

These terms are the contract between you and Cliparch. They cover creator accounts and brand accounts, how a booking is paid, and what happens if a delivery needs another cut.

1. Agreement

By creating a creator account or a brand account, or by booking a creator, you agree to these Terms of Service and to the Usage Rights. If you use Cliparch for a company, you confirm you can bind that company, and “you” means both you and that company.

The version you accept is recorded on your account. If you do not agree, do not create an account and do not book.

2. Who we are

Cliparch is operated by Cliparch Labs, Inc. (“Cliparch,” “we,” “us”). The product is a marketplace where brands browse creator work, book a package, and pay before filming starts. Creators set their own packages, rates, and add-ons.

We provide the site, the booking record, messaging, file delivery, and the payment flow. We are not the creator’s employer, the brand’s agency, or a party to the creative services except as described in these terms.

3. Definitions

  • Creator means a person who publishes a profile and offers packages.
  • Brand means a person or company that books a creator or posts a brief.
  • Booking means an order for a package, quantity, and any add-ons, together with the brief attached to that order.
  • Creator rate means the price the creator set for the package and add-ons. The platform fee is not part of the creator rate. On a brief, it means the base the brand hired at. A view bonus is separate until it is paid.
  • View bonus means the later amount on a booking that pays per 1,000 views or paid impressions, up to the cap written on that booking.
  • Delivered files means the final cuts the creator uploads and the brand approves. Raw footage and project files are not delivered files unless the order says they are included.
  • Usage Rights means the license terms at /usage-rights, which are part of these terms.

4. Eligibility

You must be at least 18 years old and able to form a contract. You must provide a real name and a working email. A brand account must use a contact who can approve work and pay for it.

You may not use Cliparch if we have closed your account for a serious breach, or if the law of your country forbids you from using a service like this.

5. Accounts

A creator account and a brand account are separate. Keep your password to yourself. You are responsible for activity on your account until you tell us it is compromised and we have had a reasonable chance to lock it.

Tell us when your name, company, or payout details change. We may refuse a name or handle that impersonates someone else, misleads buyers, or infringes a trademark.

Signing up requires a checked agreement to these terms and a checked agreement to the Usage Rights. A pre-checked box, or a note that you “agree by continuing,” is not enough.

6. The marketplace

Creators are independent. A booking does not make the creator an employee, partner, or agent of the brand or of Cliparch. The brand does not control the creator’s hours, tools, or other clients, except for the deadline and brief on that booking.

We do not promise that a creator will be booked, that a brand will find a match, or that a video will produce any sales, views, or ad result. Sample profiles that have not signed up cannot be booked.

New creator profiles can be held for review before they appear in search or accept payment. We may decline a profile that does not show original work.

7. Creator profiles

Your profile, packages, add-ons, and portfolio are your offer to brands. Prices are in US dollars. You can edit them until a brand has paid for a booking that uses the old price. A paid booking keeps the price shown at checkout.

Portfolio pieces must be work you have the right to show. If a clip was made for a brand, you may show it when your agreement with that brand allows it, including work delivered through Cliparch once the brand has approved it and the Usage Rights allow portfolio use.

You choose what you will not film. You may decline a brief that asks for it. Declining before you accept does not, by itself, lower your standing.

8. Bookings and briefs

A brand books by choosing a package, a quantity, any add-ons, and a brief, then paying the total shown at checkout. The brief should name the product, the point of the video, the deadline, and any claims the creator is asked to say.

The creator sees that brief before accepting. Acceptance is a commitment to deliver the package that was paid for, within the turnaround on the package, using the brief as the spec. The creator can accept before payout details are on file. We send the payout after those details are added.

The creator may decline a paid brief before accepting it. If they decline, the booking is canceled and the brand is refunded the amount paid. After acceptance, the creator starts production and delivers the cut on the order.

A note in the brief about how the brand hopes to use the video does not add rights beyond the Usage Rights. Whitelisting, Spark Ads, or partnership ads from the creator’s handle are included only when that add-on is on the paid order.

9. Fees

Creators do not pay to list, apply, or get paid. The brand pays the creator rate plus a platform fee. The fee is calculated on the package, quantity, and add-ons, and it is shown before payment.

On the free brand plan the platform fee is 12%. If you are on a paid brand plan that states a lower fee, the rate shown at checkout for that booking is the rate that applies. The fee is Cliparch’s. It is not part of the creator rate. When a booking is refunded, the brand is refunded the fee along with the creator rate. A deduction from a creator only removes the creator rate. The same fee rate applies to a view bonus, and it is shown before that card is charged.

There is no fee for browsing, posting a brief that is never booked, or messaging about a booking.

10. View bonus

A booking has a view bonus only when the brief says so. A fixed-price booking, and a booking for UGC files, has no view count and no bonus. The dollars per 1,000, the cap, and the window of 14 or 30 days are the ones on the booking when the brand hired. A later edit to the brief does not change them.

On a creator post, the count is views on that post during the window. On a paid ad, the count is paid impressions from that flight during the window. The window starts the day the post goes live, or the day the ad flight starts. Views and impressions outside that window are not part of the bonus. The bonus is due only for that window, and only after the window has ended.

The brand enters the count after the delivery is approved and after the window has ended. Cliparch may enter it for the brand. The creator does not enter it. Cliparch does not read TikTok, Instagram, YouTube, or an ads account. The whole number entered is the count that is charged.

Only full thousands are paid. A remainder under 1,000 adds nothing. 24,600 views at $4 per 1,000 is $96. The bonus stops at the cap on the booking, even when the count is higher. The brand pays the creator’s share of that bonus plus the platform fee, on the card saved with the booking. A count under 1,000 settles at zero: nothing is charged, and nothing is added to the creator’s balance. If the card does not go through, the amount stays due until the card is charged or Cliparch marks the bonus paid. The creator’s share becomes payable when the bonus is paid. Once it is paid, the count is settled and is not entered again.

A views-only booking saves a card when the brand hires and charges that card only when the count is entered. No base is paid up front.

If the creator thinks the count is wrong, they say so in the order thread, with the number they believe is right. They should say so before the brand enters it, or as soon as they see the number. The brand can correct the number before the card is charged. After the charge, either side can ask Cliparch to look at what both of them send. We decide from those records. We do not pull a number from a platform. If the records do not show a different count, the number the brand entered stands.

If the booking is canceled before the count is entered, no bonus is charged. If it is canceled after the bonus is paid, the brand is refunded the bonus with the rest of what they paid, and the creator’s bonus share is deducted from the creator’s balance the same way as the creator rate. A card dispute on the bonus deducts the creator’s bonus share. If that dispute is won, the deduction is reversed.

11. Escrow and payouts

The brand pays the full total before the creator is expected to film. That payment is held for the booking. The creator’s share is the creator rate. Cliparch keeps the platform fee.

Card payments are processed by Stripe. Cliparch does not store the card number. If card checkout is unavailable, the booking is recorded as owed and production waits until payment is marked received.

When the brand approves the delivery, the creator rate becomes payable. A view bonus becomes payable when that bonus is paid, not when the delivery is approved. The target is to send a payable amount within two business days after it becomes payable, once the creator’s bank details are on file. Bank timing, a missing account, or a payment-provider hold can make it longer. We will tell you if a payout cannot be sent.

The operator can cancel a booking from the order, including after approval. The brand is refunded what they paid. The creator rate is deducted from the creator’s balance. If that rate was already paid out, the balance goes negative and the next payout is reduced until the balance is back to zero. A creator who declines before accepting is not charged.

12. Revisions, approval, and refunds

Revision rounds are included on the clips in the booking. A brand asks for another cut from the order after a delivery. The request should say what missed the brief. The creator delivers the revised cut the same way.

Approval means the brand accepts that delivery and the Usage Rights for those files begin. Approve only when the cut matches the brief you paid for.

A brand may cancel from the product only before payment. After payment:

  • If the creator declines before accepting, the brand is refunded the amount paid, the creator is not charged, and no license is granted.
  • If a delivered cut still misses the brief after revision, contact Cliparch. We can cancel the booking and refund the amount paid. The creator rate is deducted from the creator’s balance. No usage license is granted for a booking that is refunded before approval.
  • If an approved booking is canceled, the brand is refunded and the creator rate is deducted the same way. A license that already started ends when the booking is refunded.
  • A card refund or chargeback in Stripe deducts the creator rate in proportion to the amount reversed. If a chargeback is won, that deduction is reversed.

A brand cannot cancel a paid booking from the product. Message the creator in the order thread, or contact Cliparch. The operator can cancel the booking, refund the brand, and deduct the creator rate from the creator’s balance.

13. Usage rights

Copyright in the creator’s work stays with the creator. The brand receives a license only as written in the Usage Rights. Those terms cover organic use, paid ads on the brand’s channels, edits, raw files, whitelisting, exclusivity, music, likeness, portfolio use, and what happens if a booking is refunded.

If these Terms of Service and the Usage Rights ever conflict about a license, the Usage Rights control.

14. Your content

You keep ownership of content you upload. You grant Cliparch a non-exclusive license to host, store, transcode, back up, and display that content as needed to run the marketplace, including showing a public profile and portfolio the way you configured them, and delivering files to the brand on a booking.

You also grant us a license to use your name, handle, and approved delivered work in Cliparch’s own marketing of the marketplace, unless you ask us to stop a specific use. That marketing license does not give a third-party brand any rights in your work.

The Cliparch name, logo, site, and software belong to us. You may not copy the product, scrape it, or use our marks in a way that suggests a partnership we have not agreed to in writing.

If you send us product feedback, we may use it without owing you a fee.

15. Acceptable use

Do not do any of the following:

  • Upload work you do not have rights to, including music, logos, or a person’s likeness you cannot clear.
  • Ask a creator to hide that a video is a paid partnership, or to make a claim that is false, unlawful, or unsupported. Medical, health, and income claims need extra care. A creator may refuse them.
  • Harass, threaten, or discriminate against another user.
  • Impersonate a person or brand, or buy fake reviews, fake followers, or fake delivery history.
  • Enter a view count or impression count you know is false.
  • Probe, disrupt, or overload the service, or upload malware.
  • Use another person’s account, or let someone else use yours in order to hide who is paying or who is filming.

Brands are responsible for the claims they put in a brief. Creators are responsible for what they actually say on camera. Paid partnerships should be disclosed the way the platform they are posted on requires.

16. Off-platform deals

If a brand and a creator first meet through Cliparch, bookings between them for the next 12 months go through Cliparch. That includes extra videos, whitelisting extensions, and reorders of the same kind of work.

You may still work together outside Cliparch on a project that did not start from an introduction here. You may not move a Cliparch booking off the site to avoid the platform fee. We may suspend accounts that do, and we may charge the fee that would have applied to the booking that was taken off-platform.

17. Privacy and payments

We measure invitation campaign visits, signup steps, validation field names, account creation, and profile submission to improve onboarding. A first-party attribution cookie lasts 30 days. This tracking does not record what you type, passwords, full referring URLs, or IP addresses. We honor browser Do Not Track and Global Privacy Control signals for this measurement. Operators can compare invitation records with account registrations; we do not share this data with advertisers.

We use your account details, profile, messages, briefs, and order history to run Cliparch: to create the account, show the right dashboard, deliver files, prevent fraud, and send transactional email about bookings and payouts.

Card numbers are entered on Stripe, not on a Cliparch page. Stripe’s terms apply to that payment. Bank details a creator adds for payout are used only to pay that creator and to keep a record of the payout.

We do not sell your contact details to other brands or creators. A brand sees the profile a creator published. A creator sees the brand name, contact, and brief on a booking offered to them.

You can ask us to close your account. We may keep order, payment, and tax records for as long as the law and a live dispute require.

18. Taxes

Creator rates are what the creator chose to charge. Creators are responsible for their own income taxes, and for sending us any tax form we are required to collect before payout. Brands are responsible for taxes on their own purchases. The platform fee does not include an amount for the creator’s income tax.

If a government requires us to withhold, we may withhold and pay that amount, and the payout will show it.

19. Suspension and termination

You may stop using Cliparch at any time. Close the account from your dashboard or by a legal notice to us. Closing an account does not cancel a booking that is already paid. Finish it, or ask us to cancel it under the refund rules above.

We may suspend or close an account that breaches these terms, that puts other users or the payment flow at risk, or that we are required to close. We will say why unless the law or a security investigation says we should not.

If we close a creator account, approved deliveries that did not themselves breach these terms are still paid. Open bookings can be canceled and refunded to the brand. Licenses already granted under the Usage Rights survive the end of the account. Sections that by their nature should survive, including fees owed, usage rights, liability, indemnity, and the waiver of lawsuits, survive too.

20. Disclaimers

The site is provided as available. We do not warrant that it will be uninterrupted, that a creator’s portfolio predicts future performance, or that a file will be accepted by every ad platform. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some places do not allow those disclaimers. In those places, they apply only as far as the law allows.

21. Limitation of liability

Cliparch is not liable for indirect, incidental, special, consequential, or lost-profit damages, or for a campaign result, even if we were told it was possible.

Our total liability arising out of the service in any 12-month period is limited to the greater of the platform fees you paid us in that period or one hundred US dollars. This cap does not limit a brand’s duty to pay a creator rate that is already approved, and it does not limit liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

The creator and the brand are responsible to each other for the brief and the delivery. We are not the insurer of that work.

22. Indemnity

You will defend and indemnify Cliparch and its directors, employees, and agents against third-party claims, damages, and reasonable legal fees arising out of your content, your use of a license you did not have, a claim you asked someone to make, or your breach of these terms. We will give you notice of the claim. You will not settle it in a way that admits fault for us or imposes an obligation on us without our written agreement.

23. Changes

We may change these terms or the Usage Rights at any time, for any reason, and without notice before the change. The version on this page is the current version. The date at the top of the page is the date of that version.

A change applies as soon as we post it. If you keep using Cliparch after that, you accept the new version. The version in force when a booking is paid still governs that booking. If you do not agree to a new version, stop using the service. Existing approved licenses are unchanged.

24. No lawsuits

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

To the fullest extent the law allows, you agree not to sue Cliparch. You will not file, or take part in, a lawsuit, claim, demand, class action, arbitration, or other proceeding against Cliparch or its directors, employees, or agents that arises out of the site, these terms, a booking, a payout, or your use of the service. Your remedies are the ones written in these terms, including a refund or a canceled booking where those sections say so.

This waiver does not apply where the law says it cannot, including a claim for fraud or for death or personal injury caused by negligence. You may also have rights under the laws of the country where you live. Those rights are not waived where a waiver would be invalid.

25. Contact

Legal notices to Cliparch go to Cliparch Labs, Inc. Send them from the email on your account with the subject line “Legal notice.” We will send notices to you at the email on your account. A notice is received the next business day after it is sent, unless the sender gets a bounce.

Questions about a live booking should go in the order thread first. The Usage Rights page is the full license for delivered videos.
